1. Who we are and what these terms cover
Boomerang is a returns platform and U.S. warehouse service for sellers based outside the United States. It is operated by Boomerang, a division of Eastern Air Couriers, with offices at 28 West 36th Street, Room 601, New York, NY 10018 (“Boomerang”, “we”, “us”). Warehouse operations are carried out with our logistics partner, Eastern Air Couriers (EAC), at the address shown on the Contact page.
These terms apply to the Boomerang website, the supplier portal, the receiving, storage, inspection, fulfilment, export and duty drawback services described on the site, and the Founding Seller offer. By creating an account, ticking the agreement box at sign-up, or using the services, you accept them on behalf of the company you represent (“you”, the “supplier”). If you do not have authority to bind that company, do not create an account.
A signed service agreement, rate card or statement of work takes precedence over these terms where the two differ.
2. Accounts and users
Each supplier has its own account. The person who signs up becomes the supplier admin and may invite colleagues with admin, operations or view-only roles. You are responsible for who you invite, for keeping sign-in credentials private, and for everything done under your account. Remove people who leave your company promptly; we act on instructions from any active user with the appropriate role.
You must give accurate company details, including your legal name, registered address, business registration and tax identifiers, and your U.S. importer of record number where drawback services are used. Tell us when they change.
We may suspend an account that is in arrears, is used in breach of these terms, or presents a security or legal risk, and we will tell you why.
3. The services
When your account is active you may create return orders, and we provide a U.S. return address and labels for your customers. On arrival we scan each package, record its condition, photograph it as received, open it, photograph each unit (the opened item, and its tags or defects), assign a condition grade and a bin location, and show the result in your portal. Where the contents do not match the return order we flag it and wait for your decision.
For units in stock you choose one of four dispositions: hold, sell to a U.S. buyer with Boomerang picking, packing and shipping, consolidate into a shipment to a destination you name, or dispose. Return and disposal requests are confirmed by Boomerang before anything moves. Sales orders go straight to the warehouse.
Inspection grades and photographs are our good-faith record of what arrived. They are not a warranty of resale value, authenticity or fitness for any purpose.
We do not accept hazardous materials beyond what the carrier and the warehouse permit, perishable goods, counterfeit goods, or goods that are unlawful to import, hold or ship in the United States. Lithium batteries must be declared on the catalog item. We may refuse, quarantine or, after notice, dispose of goods that breach this section, at your cost.
4. Your goods, title and risk
Title to goods stays with you throughout. We act as bailee from the time a package is scanned at our dock until it leaves our warehouse with a carrier, or is collected, sold, exported or disposed of on your instruction.
Risk of loss or damage in transit to and from the warehouse is with the carrier and, where applicable, the carrier’s liability terms. Carrier insurance can be added to outbound shipments at your request and cost.
While goods are in our care we take reasonable care of them. Our liability for loss or damage caused by our negligence is limited to the lower of the declared customs value per unit and [LIABILITY CAP PER UNIT], unless a higher value and premium were agreed in writing before receipt.
Units with no disposition after [ABANDONMENT PERIOD, e.g. 180 days] of storage and after two written reminders may be treated as abandoned and sold or disposed of, with any net proceeds credited to your wallet after charges.
5. Duty drawback
Where you ask us to, we assemble the data and evidence for a U.S. Customs and Border Protection duty drawback claim on goods that are exported or destroyed under customs supervision: import entry details, inspection records, export documents, and the notice of intent to export or destroy. Claims are filed by a licensed customs broker, either yours or one we introduce, in your name as claimant or with you as the party that endorses the right to claim.
Drawback assessments and the amounts shown in the portal are estimates. Eligibility is decided entry by entry under 19 CFR Part 190 and depends on records and timing we do not control, including whether the import entry is still open for claim, whether a notice of intent was accepted, and whether CBP requires examination. We do not promise that any claim will be accepted or paid. Where a claim is paid, our fee is the share of the refund set out in your rate card, charged when the refund is received.
You are responsible for the accuracy of the import documents you give us, for holding any customs bond CBP requires, for signing the customs power of attorney and any waiver or certificate the broker needs, and for keeping drawback records for the period CBP requires (currently three years from the date of payment of the claim).
6. Fees, wallet and invoices
Fees are set out in the rate card attached to your account and shown in the portal: receiving and inspection per unit, storage per unit per day after any free period, pick and pack per order, outbound shipping at the carrier rate plus the handling margin in the rate card, labels, and the drawback fee. Fees exclude taxes, duties and carrier surcharges, which are passed through.
Storage charges, including any demurrage or detention charged to Boomerang for goods held on your behalf, are payable by you at the rate card in force. Storage for inventory held longer than 12 months is charged at 10% above the standard storage rate. We send a monthly aging report of your inventory, by email on the first of each month, and the portal shows days held for every unit.
Return labels and outbound postage are paid from a prepaid wallet. Deposits are made by bank transfer and credited when received. If the wallet cannot cover a label we may hold the label until it is topped up. Other charges are invoiced monthly in arrears and are due [PAYMENT TERMS, e.g. 14 days] from the invoice date. We may suspend services and withhold release of goods while undisputed amounts are overdue.
Founding Seller terms (no setup fee, no receiving, storage or pick-and-pack charges until the rate card is published, no storage charges before 31 January 2027 in any case, and the published launch rate card held for 12 months) apply to accounts created between 8 November and 15 December 2026 whose company details and service agreement are completed during that window. They are described on the offer page and in the FAQ and may be confirmed in detail before 8 November 2026.
We may change the rate card on 30 days’ written notice, except where a price lock applies.
7. Customs, export and sanctions compliance
You confirm that goods you send to the warehouse were lawfully imported into the United States, that you hold the import documents for them, and that nothing you ask us to ship is destined for a person, entity or country subject to U.S. sanctions or export controls. We screen export consolidations against Electronic Export Information requirements and file or claim an exemption as the regulations require, based on the values and classifications you supply.
You are responsible for the correctness of Harmonized Tariff Schedule codes, Schedule B numbers, Export Control Classification Numbers, country of origin and declared values in your catalog. We validate formats and check codes against the U.S. International Trade Commission tariff database as a convenience; this is not customs advice.
8. Your data and our records
You own the data you upload and the records we create for you. You give us the right to store, process and share it as needed to provide the services, including with the warehouse partner, carriers, the shipping platform, your customs broker and CBP. We keep the original documents you upload and a full history of changes, because customs records must be traceable. How we handle personal data is set out in the Privacy notice.
You confirm that you are entitled to share your customers’ names and addresses with us for the purpose of receiving their returns, and that your own notices to customers cover this.
We may use anonymised, aggregated information about returns to improve the service and publish statistics; nothing published will identify you or your customers.
9. Acceptable use and the platform
Do not attempt to access other suppliers’ data, probe or disrupt the service, upload malicious files, or use the platform for anything unlawful. We may rate-limit, block or remove content and accounts that do.
The platform, its design and its content are ours or our licensors’. You may use them only to receive the services. We may change features at any time; we will give reasonable notice of changes that reduce functionality you rely on.
The service is in beta during the Founding Seller period. We aim for high availability but do not guarantee uninterrupted access, and planned maintenance may occur with notice in the portal.
10. Liability
Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence.
Subject to that and to section 4, each party’s total liability arising out of the services in any 12-month period is limited to the fees paid by you for the services in that period. Neither party is liable for indirect or consequential loss, loss of profit, loss of sale, or loss of a drawback refund, however arising.
We are not liable for delay or failure caused by events outside our reasonable control, including carrier failures, customs holds, port or airport disruption, strikes, severe weather, or failure of a third-party platform we rely on.
11. Ending the agreement
You may close your account at any time by telling us in writing. We may end the agreement on 30 days’ written notice, or immediately for material breach that is not cured within 14 days of notice, or for non-payment.
On ending, you choose a disposition for every unit in stock within 30 days and settle outstanding charges, after which we ship, release or dispose of goods as you instruct. We return or delete your data as described in the Privacy notice, keeping what customs and tax law require us to keep.
12. General
These terms are governed by the laws of [GOVERNING LAW, e.g. the State of New York, United States], and disputes will be resolved in the courts of [VENUE], after a good-faith attempt by senior people on both sides to settle the matter within 30 days.
We may update these terms. We will post the new version here with its effective date and tell account admins by email or in the portal at least 14 days before a material change takes effect. Continued use after that date is acceptance. If any part of these terms is unenforceable, the rest stays in force. Neither party may assign the agreement without consent, except to a successor of its business on notice.
